Official Terms & Conditions

  1. Agreement

These Feed Good Rewards™ Official Terms & Conditions (collectively, the “Agreement”) represent a legally binding, contractual agreement between you (“you”) and Canada Bread Company, Limited (hereinafter referred to as “us”, “we” and/or “ Bimbo Canada”) with respect to your use of the Feed Good Rewards™ Program (the “Program”). This Agreement applies to your use of the Program and each component of the Program (including, without limitation, the Program Content), including all enhancements, updates, versions and modifications to the Program or any component of the Program (including, without limitation, the Program Content).

By checking “ I have read, understood and accept the Terms and Conditions in addition to receiving emails required for the administration of Feed Good Rewards™ such as confirmation notices, potential winner notifications and password resets.”, you are: (i) representing that you have reached the legal age of majority in your jurisdiction of residence; (ii) representing that you meet the eligibility requirements to join the Program; and (iii) indicating your acceptance of, and agreement to be legally bound by, all of the terms and conditions of this Agreement. Do not access or otherwise use the Program or any component of the Program (including, without limitation, the Program Content) if you are unwilling or unable to be legally bound by the terms and conditions of this Agreement.

If you do not accept and agree to be legally bound by the terms and conditions of this Agreement, you will not be permitted to access or otherwise use the Program or any component of the Program (including, without limitation, the Program Content).

Your use of the Program and each component of the Program (including, without limitation, the Program Content) is at your own risk, including the risk that you might be exposed to content that is inaccurate, objectionable, or otherwise inappropriate, and the risk that content you choose to share in connection with the Program may be misused by third parties. We suggest you print a copy of this Agreement for your records.

  1. Eligibility

The Program is open only to residents of Canada (except Quebec) who have reached the legal age of majority in their province or territory of residence. The Program is not available to: (i) individuals associated with the Program, including the employees, agents or representatives (and those with who such individuals are living, whether related or not) of Bimbo Canada (including its respective divisions, subsidiaries, affiliates and advertising or promotional agencies); and (ii) suppliers providing prizes or other materials or services in connection with the Program ((i) and (ii) collectively, the “Excluded Individuals”), and (iii) the immediate family members of the Excluded Individuals ((i), (ii) and (iii) collectively the “Program Parties”) .

  1. Privacy

Without limiting the generality of this Agreement, your use of the Program is also subject to the terms of the Bimbo Canada Privacy Statement (the “ Privacy Statement”), which is hereby incorporated into and made part of this Agreement and available here. Please carefully review the Privacy Statement. When you download, install, access or otherwise use the Program or any component of the Program (including, without limitation, the Program Content), you are agreeing to the collection, use and disclosure of the information you share with Bimbo Canada and its affiliates, as explained in this Agreement and the Privacy Statement.

  1. Modification of Agreement by Bimbo Canada

Subject to applicable law, Bimbo Canada reserves the right, in its sole and absolute discretion, to modify all or any portion of this Agreement at any time without incurring any liability or obligation whatsoever to you or any other person or entity. To the fullest extent permitted by applicable law, your continued access to and/or use of the Program or any component of the Program (including, without limitation, the Program Content) after the date specified in such notice constitutes your full acceptance of, and agreement to be legally bound by, the terms of this Agreement, as revised.

  1. Registration and Account Security

The Program is password-protected and requires you to complete a registration process in order to obtain access to and/or otherwise use the Program and its features. When registering for an account (an “ Account”), you agree: (i) that you will provide complete and accurate information; and (ii) to update such information as it changes. In the event that you do not provide or update such information, or Bimbo Canada has reasonable grounds to suspect that you have not provided or updated such information, Bimbo Canada shall have the right, in its sole and absolute discretion, to disable your Account and prevent you from using the Program, or any features of the Program. It is your responsibility to keep the password and other information provided to you confidential and secure. In the event that your password and/or Account are used without your consent or that you discover any other breach of security, you agree to promptly notify Bimbo Canada at Contact Us . We are not responsible for your failure to comply with this clause, or for any delay in shutting down your Account and/or access to the Program or any component or feature thereof (including, without limitation, the Program Content). You are solely responsible for any and all activities which occur under your Account.

  1. Points

The Program allows you to earn Points (each, a “Point” and collectively, the “Points”) by participating in and/or completing certain actions (each, an “Action” and collectively, the “Actions”) in accordance with the Actions schedule set out in Appendix “A” to this Agreement. The corresponding number of Points available to be earned in relation to each Action will be specified in Appendix “A” by Bimbo Canada in its sole and absolute discretion. You accumulate Points in your Account on a monthly basis. The Points that have accumulated in your Account during the calendar month are used in connection with the Donation Programs and Promotions as described herein and on the Program website. After the Points in your Account have been deployed in connection with the Donation Program and Promotion, any remaining Points are relinquished and the Points balance in your Account is re-set to zero (0) to start the next month at 12:00 AM EST on the first day of the new month.

The current Actions and the Points associated with completing such Actions is listed in Appendix “A” and may be updated by Bimbo Canada, in its sole and absolute discretion, on a periodic basis. Bimbo Canada may, in its sole and absolute discretion: (i) add Actions; (ii) remove Actions; (iii) alter Actions; and/or (iv) alter the Point value associated with any particular Action(s). The Bimbo Canada Entities (as defined below) are not responsible for and accept no liability in relation to incorrect Point values displayed on in Appendix “A” or elsewhere.

Points will automatically be tracked and allocated to your Account by Bimbo Canada in accordance with its official records. Points have no cash value and are not exchangeable for cash, merchandise or otherwise. Points have no value whatsoever outside of the Program. Except as permitted from time to time by Bimbo Canada in its sole and absolute discretion, Points cannot be assigned, exchanged, traded, bartered, purchased, given by gift or otherwise sold. Any Points so acquired are void. The accumulation of Points does not entitle you to any vested rights, and Bimbo Canada does not guarantee in any way the continued availability of any Promotion or Donation Program (as defined below) or any other benefit.

All Points are subject to verification at any time and for any reason. Bimbo Canada reserves the right, in its sole and absolute discretion, to invalidate any Points it deems to have been awarded in error, or as the result of any fraudulent activity, or any activity not in keeping with the letter and/or spirit of the terms and conditions of this Agreement, as interpreted by Bimbo Canada in its sole and absolute discretion. Any Points that cannot be verified to the satisfaction of Bimbo Canada are subject to disqualification.

The Bimbo Canada Entities (as defined below) will not be liable for the failure of any Points to be captured or recorded for any reason, including, but not limited to, technical problems or traffic congestion on the internet or at any website.

Your Points balance will be updated by Bimbo Canada. In the event that you believe your Point total is inaccurate, you agree to promptly notify Bimbo Canada at Contact Us . All decisions of Bimbo Canada with respect to Points (including, without limitation, the accuracy of Point totals and/or the validity of Points) are final and binding without right of appeal.

  1. Promotions

From time to time, Bimbo Canada may offer promotions (each, a “ Promotion”). Each Promotion will be governed by: (i) this Agreement; and (ii) the terms and conditions outlined in the official rules associated with the applicable Promotion (each, a “ Official Rules”). For each Promotion, Official Rules will include certain information that is relevant to the applicable Promotion – including, but not limited to: (i) key dates; (ii) eligibility requirements; (iii) how to participate; (iv) limits; (v) prize(s) and/or reward(s); and (vi) other relevant information. In the event of a conflict between this Agreement and the applicable Official Rules, the terms and conditions set forth in the applicable Official Rules shall prevail, govern and control to the extent necessary to resolve the conflict. The following terms and conditions apply to all Promotions:

Eligibility : Unless stated otherwise in the applicable Official Rules, Promotions are not open: (i) to residents of Quebec; or (ii) to employees, representatives or agents (or those living with any such person, whether related or not) of Bimbo Canada, its affiliated entities, prize suppliers, advertising/promotion agencies and any other individual(s), entity or entities involved in the development, production, implementation, administration or fulfillment of the applicable Promotion (collectively, the “Promotion Parties”). For additional eligibility requirements that may be associated with a Promotion, please see the applicable Official Rules.

How to Enter : To participate, follow the instructions in the applicable Official Rules. Standard data rates apply to participants who choose to participate in a Promotion via a mobile device. Please contact your service provider for pricing and service plan information and rates before mobile device participation.

Prizes and Rewards: For details on the prize(s) or reward(s) (the “ Prize(s)/Reward(s)”) available in relation to a Promotion, please see the applicable Official Rules. Prize(s)/Reward(s) must be accepted as awarded and are not transferable, assignable or convertible to cash (except as may be specifically permitted Bimbo Canada in its sole and absolute discretion). No substitutions are permitted, except at Bimbo Canada’s option. Bimbo Canada reserves the right, in its sole and absolute discretion, to substitute a Prize/Reward or a component thereof with something of equal or greater retail value. None of the Promotion Parties makes any representation or offers any warranty, express or implied, as to the quality or fitness of any Prize(s)/Reward(s) awarded in connection with a Promotion. To the fullest extent permitted by applicable law, a confirmed recipient understands and acknowledges that they may not seek reimbursement or pursue any legal or equitable remedy from either Bimbo Canada or any of the other Promotion Parties should their Prize(s)/Reward(s) fail to be fit for its purpose or is in any way unsatisfactory. IMPORTANT NOTE: ANY AND ALL OTHER COSTS ASSOCIATED WITH UTILIZING A PRIZE/REWARD WILL BE THE SOLE AND ABSOLUTE RESPONSIBILITY OF THE RECIPIENT. NONE OF THE PROMOTION PARTIES, NOR ANY OTHER ENTITY, WILL BE PROVIDING ANY COMPENSATION WHATSOEVER WITH RESPECT TO ANY COSTS ASSOCIATED WITH UTILIZING A PRIZE/REWARD OR OTHERWISE.

Participation Conditions: If it is discovered by Bimbo Canada (using any evidence or other information made available to or otherwise discovered by Bimbo Canada) that any person has attempted to use multiple names, multiple identities, any automated, macro, script, robotic or other system(s) or program(s), and/or any other means not in keeping with Bimbo Canada’s interpretation of the letter and spirit of this Agreement and/or the applicable Official Rules to participate in or to disrupt a Promotion; then they may be disqualified from the applicable Promotion in the sole and absolute discretion of Bimbo Canada. The Promotion Parties are not responsible for, and accept no liability whatsoever in relation to, any late, lost, misdirected, delayed, incomplete or incompatible information (all of which is void).

Verification: Bimbo Canada reserves the right, in its sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to Bimbo Canada – including, without limitation, government issued photo identification): (i) for the purposes of verifying an individual’s eligibility to participate in a Promotion; (ii) for the purposes of verifying the eligibility and/or legitimacy of any information entered (or purportedly entered) for the purposes of a Promotion; and/or (iii) for any other reason Bimbo Canada deems necessary, in its sole and absolute discretion, for the purposes of administering a Promotion in accordance with Bimbo Canada’s interpretation of the letter and spirit of this Agreement and the applicable Official Rules. Failure to provide such proof to the complete satisfaction of Bimbo Canada within the timeline specified by Bimbo Canada may result in disqualification in the sole and absolute discretion of Bimbo Canada. The sole determinant of the time for the purposes of a Promotion will be the official time-keeping device(s) of Bimbo Canada.

General Conditions : Each Promotion is subject to all applicable federal, provincial and municipal laws. Where permitted by law, the decisions of Bimbo Canada with respect to all aspects of each Promotion are final and binding on all entrants without right of appeal.

Bimbo Canada and the other Promotion Parties will not be liable for: (i) any failure of the Program and/or any other website/platform during a Promotion; (ii) any technical malfunction or other problems of any nature whatsoever, including, without limitation, those relating to the telephone network or lines, computer on-line systems, servers, access providers, computer equipment or software; (iii) the failure of any information to be received, captured or recorded for any reason whatsoever, including, but not limited to, technical problems or traffic congestion on the internet or at any website; (iv) any injury or damage to an entrant’s or any other person’s computer or other device related to or resulting from participating in a Promotion; (v) anyone being incorrectly and/or mistakenly identified as a recipient or an eligible recipient; and/or (vi) any combination of the above.

Bimbo Canada reserves the right, in its sole and absolute discretion, to withdraw, amend or suspend a Promotion (or to amend this Agreement and/or the applicable Official Rules) in any way, in the event of any cause beyond the reasonable control of Bimbo Canada that interferes with the proper conduct of a Promotion as contemplated by this Agreement and/or the applicable Official Rules, including, without limitation, any error, problem, computer virus, bugs, tampering, unauthorized intervention, fraud or failure of any kind whatsoever. Any attempt to undermine the legitimate operation of a Promotion in any way (as determined by Bimbo Canada in its sole and absolute discretion) may be a violation of criminal and civil laws and should such an attempt be made, Bimbo Canada reserves the right to seek remedies and damages to the fullest extent permitted by law. Bimbo Canada reserves the right, in its sole and absolute discretion, to cancel, amend or suspend a Promotion, or to amend this Agreement and/or the applicable Official Rules, in any way without prior notice or obligation, in the event of any accident, printing, administrative, or other error of any kind, or for any other reason whatsoever.

Bimbo Canada reserves the right, in its sole and absolute discretion, to adjust any of the dates, timeframes and/or other mechanics stipulated in the applicable Official Rules, to the extent deemed necessary by Bimbo Canada, for purposes of verifying compliance by any participant and/or other information with this Agreement and/or the applicable Official Rules, or as a result of any technical or other problems, or in light of any other circumstances which, in the opinion of Bimbo Canada, in its sole and absolute discretion, affect the proper administration of the Promotion as contemplated in this Agreement and/or the applicable Official Rules, or for any other reason.

FOR RESIDENTS OF QUEBEC ONLY: If a Promotion is open to residents of Quebec, any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of a prize may be submitted to the board only for the purpose of helping the parties reach a settlement.

  1. Donation Programs

From time to time, Bimbo Canada may administer donation programs (each, a “ Donation Program”). Each Donation Program will be governed by: (i) this Agreement; and; and (ii) the terms and conditions outlining in the the applicable Donation Program (each, a “ Donation Terms and Conditions”). In relation to each Donation Program, the applicable Donation Terms and Conditions will include certain information that is relevant to the applicable Donation Program – including, but not limited to: (i) key dates; (ii) limits; and (iii) other relevant information. In the event of a conflict between this Agreement and the terms and conditions of Donation Terms and Conditions, the terms and conditions set forth in the applicable Donation Terms and Conditions shall prevail, govern and control to the extent necessary to resolve the conflict. The following terms and conditions apply to all Donation Programs:

General Conditions : Each Donation Program is subject to all applicable federal, provincial and municipal laws. The decisions of Bimbo Canada with respect to all aspects of each Donation Program are final and binding on all entrants without right of appeal.

Bimbo Canada reserves the right, in its sole and absolute discretion, to withdraw, amend or suspend a Donation Program (or to amend this Agreement and/or the applicable Donation Terms and Conditions) in any way, in the event of any cause beyond the reasonable control of Bimbo Canada that interferes with the proper conduct of a Donation Program as contemplated by this Agreement and/or the applicable Donation Terms and Conditions, including, without limitation, any error, problem, computer virus, bugs, tampering, unauthorized intervention, fraud or failure of any kind whatsoever. Any attempt to undermine the legitimate operation of a Donation Program in any way (as determined by Bimbo Canada in its sole and absolute discretion) may be a violation of criminal and civil laws and should such an attempt be made, Bimbo Canada reserves the right to seek remedies and damages to the fullest extent permitted by law. Bimbo Canada reserves the right, in its sole and absolute discretion, to cancel, amend or suspend a Donation Program, or to amend this Agreement and/or the applicable Donation Terms and Conditions, in any way without prior notice or obligation, in the event of any accident, printing, administrative, or other error of any kind, or for any other reason whatsoever.

Any and all donations pursuant to a Donation Program will be made by and in the name of Bimbo Canada. Program members including those who’s Program Points are used and converted to determine the amount of Bimbo Canada’s donation are not entitled to a tax receipt or any other form of benefit or recognition.

  1. Ownership of Program

The Program consists of various graphics, texts, icons, buttons, videos, audio and other files, images, designs, texts, trade-marks, brand names, software and other materials (collectively, the “ Program Content”) that have been provided by Bimbo Canada and/or other individuals or entities. All such Program Content is owned by Bimbo Canada and/or the applicable third party. You hereby acknowledge that the Program and each component of the Program (including, without limitation, the Program Content) is protected to the fullest extent permitted by applicable law – including, but not limited to, copyright, trade-mark, patent and all other applicable intellectual property and other laws. Your use of the Program and/or the Program Content does not grant or transfer to you any ownership or other rights in the Program or any component of the Program (including, without limitation, the Program Content), and except as expressly provided, nothing herein or within the Program or any component of the Program (including, without limitation, the Program Content) shall be construed as conferring on you or any other person or entity any license under any of Bimbo Canada’s or any third party’s intellectual property or other rights. Any rights not expressly granted to you in this Agreement are expressly reserved by Bimbo Canada.

You may not modify, reproduce, distribute, create derivative works or adaptations of, publicly display or in any way exploit the Program, any component of the Program, or any of the Program Content, in whole or in part, except as expressly authorized by Bimbo Canada. For greater certainty and the avoidance of any doubt, you agree that you will not take any action that is inconsistent with Bimbo Canada’s ownership of the Program and/or Bimbo Canada’s ownership of, or any third party’s ownership of, any Program Content. You are hereby expressly prohibited from removing any proprietary notice of Bimbo Canada, or any third party, from any copy of the Program or any component of the Program (including, without limitation, the Program Content).

  1. Trade-Marks

Certain names, graphics, logos, icons, designs, words, titles or phrases contained within the Program and/or Program Content may constitute trade names, registered or unregistered trade-marks or service marks (collectively, “Trade-marks”) of Bimbo Canada or other third party individuals or entities. Trade-marks may be unregistered or registered in Canada and in other countries, as applicable. All Trade-marks not owned by Bimbo Canada are the property of their respective owners, and, where used by Bimbo Canada are used under license or with permission. All Trade-marks are and shall remain the sole and exclusive property of their respective owner(s). Any use of such Trade-marks, except as expressly provided for herein, without the express written consent of the applicable owner is strictly prohibited. Nothing contained herein or on this Program or any component of the Program (including, without limitation, the Program Content) may be construed as granting, by implication, estoppel, or otherwise, any license to use any Trade-mark(s). You agree that you will not take any actions inconsistent with Bimbo Canada’s ownership of, or any third party’s ownership of, the Trade-marks. If you wish to incorporate any Trade-marks within another site or content, you must contact us and request our written permission, which may be withheld in our sole and absolute discretion.

  1. Limited License to use the Program

Upon your acceptance of the terms and conditions of this Agreement, you will be permitted to use the Program. Subject to the terms and conditions in this Agreement, Bimbo Canada hereby grants you a limited, non-sublicenseable, non-assignable, non-exclusive, non-transferable and fully revocable license to use the Program and the Program Content (provided all original copyright, trade-mark and other notices are preserved in their original form). This limited license does not include any rights not specifically enumerated herein. You agree that you shall not take or permit any action with respect to the Program or any component of the Program (including, without limitation, the Program Content) that is not expressly authorized under this limited licence. Your limited license to use the Program and the Program Content is automatically revoked upon termination or expiration of this Agreement (whichever occurs first).

  1. Confidentiality

The structure, organization and source code of the Program are the valuable trade secrets and proprietary confidential information of Bimbo Canada and its licensors. You agree not to provide or disclose to any third party any such confidential information that is or that may be contained in and/or derived from the Program or any component of the Program (including, without limitation, the Program Content).

  1. Restrictions

Without limiting the generality of any other aspect of this Agreement, you agree that you shall not:

  • use, copy, modify, download or transfer the Program or any component of the Program (including, without limitation, the Program Content), in whole or in part, except as expressly provided in this Agreement;
  • (i) reverse engineer, disassemble, decompile, or translate the Program or any component of the Program (including, without limitation, the Program Content); (ii) attempt to derive the source code of the Program or any component of the Program (including, without limitation, the Program Content); (iii) create any derivative work from the Program or any component of the Program (including, without limitation, the Program Content); and/or (iv) authorize or assist any third party to do any of the foregoing;
  • rent, lease, loan, resell, or otherwise distribute the Program or any component of the Program (including, without limitation, the Program Content);
  • remove or alter any proprietary notice or legend regarding Bimbo Canada’s, or any third party’s, proprietary rights in the Program or any component of the Program (including, without limitation, the Program Content);
  • use the Program or any component of the Program (including, without limitation, the Program Content) except in accordance with the terms and conditions of this Agreement and all applicable laws and regulations; and/or
  • use the Program or any component of the Program (including, without limitation, the Program Content): (i) to defraud any third party; (ii) to distribute obscene or other unlawful materials or information; and/or (iii) to disseminate or encourage conduct that could constitute a criminal offence or give rise to any form of liability.

  1. User Conduct and User Content

Certain features and/or portions of this Program may permit you to upload, post or otherwise transmit content that you have created (the “ User Content”). You hereby agree that you shall not use the Program to upload, post, communicate or otherwise submit or transmit through, or to, the Program any User Content that:

  • may, in the sole and absolute discretion of Bimbo Canada, degrade, tarnish, disparage, or deprecate Bimbo Canada, and/or any of its services or brands, including without limitation the Program and/or the public image or standing in the community of Bimbo Canada or any of its brands or affiliates;
  • is deemed, in the sole and absolute discretion of Bimbo Canada to be defamatory, trade libelous, pornographic or obscene;
  • is deemed, in the sole and absolute discretion of Bimbo Canada to contain, depict, include, discuss or involve, without limitation, any content that is or could be considered inappropriate, unsuitable or offensive, all as determined by Bimbo Canada in its sole and absolute discretion;
  • contains any reference to or likeness of any identifiable third parties, unless consent has been obtained from each such individual and their parent/legal guardian if they are under the legal age of majority in their jurisdiction of residence;
  • infringes, or might infringe, the intellectual property rights, privacy rights, rights of publicity, or other proprietary rights of other persons or entities, or give rise to any claims whatsoever;
  • contains any viruses, trojan horses, time bombs, or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; and/or
  • contains (in any format or media) any music, logos, trade-marks or other copyrighted materials (including, but not limited to, photographs, pictures, texts and lyrics) unless you have first obtained all necessary consents and permissions from the owner or owners of such materials.

  1. Sharing User Content

Certain features and/or portions of this Program may permit you to share your User Content. You understand that any User Content you choose to share via the Program may be copied, used, modified, or distributed by any other users. Further, you understand that once your User Content is shared, you may not be able to withdraw it. You assume all risks associated with your User Content – including, but not limited to, any third party’s reliance on its quality, accuracy, or reliability, or any disclosure of information in your User Content that makes you or others personally identifiable. You hereby agree that Bimbo Canada has no responsibility or liability whatsoever for any such activities. You also agree and understand that your User Content is not sponsored or endorsed by Bimbo Canada, and you will not imply that your User Content is in any way sponsored or endorsed by Bimbo Canada. Please consider carefully what User Content you choose to share.

  1. License to use User Content 

By using the Program and providing User Content, you hereby: (i) grant to Bimbo Canada a world-wide, perpetual, irrevocable, transferable, sub-licensable, royalty-free, non-exclusive and unrestricted license to copy, reproduce, adapt, transmit, edit, modify, or otherwise use, publicly display, distribute, translate and create compilations and derivative works from, any and all User Content (in any format or media) that you post on, upload or otherwise submit to or through, the Program; and (ii) waive all moral rights in and to all User Content that you post on, upload or otherwise submit to or through, the Program in favour of Bimbo Canada and anyone authorized by Bimbo Canada to reproduce or otherwise use such materials. For greater certainty and the avoidance of any doubt, this means that, among other things, Bimbo Canada has the right to use any and all User Content and ideas you submit in any manner without any notice or obligation to you whatsoever. For greater certainty and the avoidance of any doubt, none of the User Content you post on, upload or otherwise submit to or through, the Program will be deemed confidential.

  1. Accuracy and Changes

Facts, data and other information provided by Bimbo Canada on or through the Program or any component of the Program (including, without limitation, the Program Content) are believed to be accurate when placed on the Program. Changes may be made at any time to such facts, data and/or other information without prior notice.

  1. No Duty to Correct Errors

Without limiting the preceding provisions of this Agreement, you acknowledge and agree that Bimbo Canada has no obligation whatsoever under this Agreement or otherwise to correct any defects or errors in the Program or any component of the Program (including, without limitation, the Program Content), regardless of whether you inform Bimbo Canada of such defects or errors or Bimbo Canada otherwise is, or becomes aware of, such defects or errors. To the extent Bimbo Canada provides you with any updates or upgrades to the Program or any component of the Program (including, without limitation, the Program Content), such updates and upgrades shall be deemed to constitute part of the Program and shall be subject to all terms and provisions set forth in this Agreement, including, without limitation, terms and provisions related to licenses, use restrictions, ownership and distribution of the Program or component of the Program (including, without limitation, the Program Content).

  1. Indemnity

You agree to indemnify and hold Bimbo Canada and its affiliates, and the officers, directors, employees, agents and representatives of each of them (collectively, the "Bimbo Canada Entities") harmless from any and all claims, losses, liabilities, damages, suits, actions, costs, penalties and demands arising out of or relating, directly or indirectly, to: (i) the fact that you have downloaded, installed, accessed or otherwise used the Program or any component of the Program (including, without limitation, the Program Content), (ii) your violation of any of the terms and conditions of this Agreement; and/or (iii) the infringement by you, or any third party using your Account, of any intellectual property or other right of any person or entity. You agree that Bimbo Canada may assume the exclusive defense and control of any matter for which you are required to indemnify Bimbo Canada and you agree to cooperate, at your cost, with our defense of these claims. You agree not to settle any matter without the prior written consent of Bimbo Canada. Bimbo Canada will use reasonable efforts to notify you of any such claim, action or proceeding upon becoming aware of it.

  1. Disclaimer and Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PROGRAM AND EACH COMPONENT OF THE PROGRAM (INCLUDING, WITHOUT LIMITATION, THE PROGRAM CONTENT) ARE PROVIDED “AS IS” WITHOUT ANY REPRESENTATIONS, CONDITIONS OR WARRANTIES WHATSOEVER. THE ENTIRE RISK ASSOCIATED WITH THE USE OF THE PROGRAM AND EACH COMPONENT OF THE PROGRAM (INCLUDING, WITHOUT LIMITATION, THE PROGRAM CONTENT) RESIDES WITH YOU. Bimbo Canada EXPRESSLY DISCLAIMS, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALL OTHER REPRESENTATIONS OR WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OF TITLE, NON-INFRINGEMENT, NON-INTERFERENCE AND/OR QUIET ENJOYMENT, SYSTEM INTEGRATION, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND ACCURACY.

WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, Bimbo Canada MAKES NO REPRESENTATION OR WARRANTY THAT: (I) THE PROGRAM OR ANY COMPONENT OF THE PROGRAM (INCLUDING, WITHOUT LIMITATION, THE PROGRAM CONTENT) WILL BE COMPATIBLE WITH YOUR COMPUTER, MOBILE OR OTHER DEVICE AND/OR SOFTWARE; (II) THE PROGRAM OR ANY COMPONENT OF THE PROGRAM (INCLUDING, WITHOUT LIMITATION, THE PROGRAM CONTENT) WILL BE AVAILABLE OR WILL FUNCTION WITHOUT INTERRUPTION OR ERROR; (III) THE USE OF THE PROGRAM OR ANY COMPONENT OF THE PROGRAM (INCLUDING, WITHOUT LIMITATION, THE PROGRAM CONTENT), INCLUDING, WITHOUT LIMITATION, THE BROWSING AND DOWNLOADING OF ANY INFORMATION OR MATERIAL, WILL BE FREE OF ANY VIRUSES, TROJAN HORSES, WORMS OR OTHER DESTRUCTIVE, INTRUSIVE OR DISRUPTIVE COMPONENTS; (IV) THE TRANSMISSION OF INFORMATION TO AND FROM THE PROGRAM WILL BE SECURE; (V) THE USE OF THE PROGRAM OR ANY COMPONENT OF THE PROGRAM (INCLUDING, WITHOUT LIMITATION, THE PROGRAM CONTENT) WILL NOT INFRINGE THE RIGHTS (INCLUDING, WITHOUT LIMITATION, INTELLECTUAL PROPERTY RIGHTS) OF ANY PERSON OR ENTITY; OR (VI) THE USE OF THE PROGRAM OR ANY COMPONENT OF THE PROGRAM (INCLUDING, WITHOUT LIMITATION, THE PROGRAM CONTENT) WILL NOT CAUSE ANY DAMAGE TO YOUR COMPUTER, MOBILE OR OTHER DEVICE, SOFTWARE OR ELECTRONIC FILES.

ANY PRODUCTS AND/OR SERVICES DESCRIBED ON THE PROGRAM OR ANY COMPONENT OF THE PROGRAM (INCLUDING, WITHOUT LIMITATION, THE PROGRAM CONTENT) ARE OFFERED IN JURISDICTIONS WHERE THEY MAY BE LEGALLY OFFERED FOR SALE.

THE INFORMATION AVAILABLE ON OR THROUGH THE PROGRAM OR ANY COMPONENT OF THE PROGRAM (INCLUDING, WITHOUT LIMITATION, THE PROGRAM CONTENT) IS NOT AN OFFER OR SOLICITATION BY ANYONE IN ANY JURISDICTION IN WHICH AN OFFER OR SOLICITATION CANNOT LEGALLY BE MADE, OR TO ANY PERSON TO WHOM IT IS UNLAWFUL TO MAKE A SOLICITATION.

YOU EXPRESSLY ACKNOWLEDGE THAT Bimbo Canada HAS ENTERED INTO THIS AGREEMENT WITH YOU AND MAKES THE PROGRAM AND EACH COMPONENT OF THE PROGRAM (INCLUDING, WITHOUT LIMITATION, THE PROGRAM CONTENT) AVAILABLE TO YOU, IN RELIANCE UPON THE LIMITATIONS AND EXCLUSIONS OF LIABILITY AND THE DISCLAIMERS SET FORTH HEREIN, AND THAT THE SAME FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND Bimbo Canada. YOU EXPRESSLY AGREE THAT THE LIMITATIONS AND EXCLUSIONS OF LIABILITY AND THE DISCLAIMERS SET FORTH HEREIN WILL SURVIVE, AND CONTINUE TO APPLY IN THE CASE OF A FUNDAMENTAL BREACH OR BREACHES, THE FAILURE OF ESSENTIAL PURPOSE OF CONTRACT, THE FAILURE OF ANY EXCLUSIVE REMEDY, OR TERMINATION OF THIS AGREEMENT.

  1. Electronic Transmissions

The transmission of data or information over the internet or other forms of networks may not be secure, and is subject to possible loss, interception or alteration while in transit. Bimbo Canada does not assume any liability for any damage you may experience or costs you may incur as a result of any electronic transmissions over the internet, other forms of networks or otherwise while using the Program or any component of the Program (including, without limitation, the Program Content). In no event will any information or User Content you provide on or through the Program or any component of the Program (including, without limitation, the Program Content) be deemed to be confidential, create any fiduciary obligations to you on our part, or result in any liability to you on our part in the event that such information or User Content is inadvertently released by us or accessed by third parties without your knowledge or consent.

We ask that you please not send personal or financial information to us using unencrypted e-mail messages. While efforts are made to help ensure that all software provided in relation to the Program and each component of the Program (including, without limitation, the Program Content) is suitable for use on a various mobile and other devices, you should take reasonable and appropriate precautions to ensure compatibility of the Program with your specific mobile or other device.

  1. Governing Law

This Agreement, your use of the Program, and all related matters shall be governed solely by the domestic laws of the Province of Ontario, Canada and the federal laws of Canada applicable therein, without regard to the conflicts of law provisions of any jurisdiction. You hereby irrevocably submit to the exclusive jurisdiction of the courts of the Province of Ontario in relation to all disputes arising from or related to this Agreement, your use of the Program and any related matters.

  1. Termination

If you breach any provision of this Agreement (as determined by Bimbo Canada in its sole and absolute discretion), then you may no longer use the Program or any component of the Program (including, without limitation, the Program Content). We may, in our sole and absolute discretion, change, suspend or terminate, temporarily or permanently, the Program or any component of the Program (including, without limitation, the Program Content) or any of its features at any time, for any reason, without any notice or liability to you or any other entity. If this Agreement or your permission to use the Program is terminated by us for any reason, the agreement formed by your acceptance of this Agreement will nevertheless continue to apply and be binding upon you in respect of your prior use of the Program and anything relating to or arising from such use. If you are dissatisfied with the Program or any component of the Program (including, without limitation, the Program Content), then your sole and exclusive remedy is to discontinue using the Program.

  1. Language

To the extent Bimbo Canada translates this Agreement into other languages for your convenience or as required by applicable law, to the extent permitted under applicable law, the English version governs your relationship with Bimbo Canada, and any inconsistencies among the different versions will be resolved in favour of the English version.

  1. General

If any provision of this Agreement is held invalid or unenforceable by any court having competent jurisdiction, such provision shall be enforced to the maximum extent permitted by applicable law, and the remaining provisions of this Agreement shall continue in full force and effect. No failure to exercise or waiver of any provision of this Agreement shall be deemed to be a further or continuing waiver of such provision or any other provision of this Agreement. This Agreement is binding upon you, your heirs, executors, beneficiaries, successors and assigns and you may not assign this Agreement to any other party without our prior written consent, which consent may be withheld in our sole and absolute discretion.

If You have read this Agreement and agree to be legally bound by all OF the terms and conditions set forth above, PROCEED WITH REGISTRATION BY CHECKING THE BOX “ I HAVE READ, UNDERSTOOD AND ACCEPT THE TERMS AND CONDITIONS IN ADDITION TO RECEIVEING EMAILS REQUIRED FOR THE ADMINISTRATION OF FEED GOOD REWARDS™ SUCH AS CONFIRMATION NOTICES, POTENTIAL WINNIER NOTIFICATIONS AND PASSWORD RESETS.”

Monthly Draw Sweepstakes Official Rules

  1. SWEEPSTAKES PERIOD:

This Promotion begins on 01 May 2023 at 12:00 a.m. EST and ends on 31 December 2023 at 11:59 p.m. EST (the “Promotion Period”). The Promotion Period will consist of seven (7) whole calendar months (each a “Month”).

  1. ELIGIBILITY:

The Promotion is sponsored by Canada Bread Company, Limited (“ Bimbo Canada”)

VOID WHERE PROHIBITED OR RESTRICTED BY LAW. To be eligible to enter a Promotion, a participant must be a resident of Canada except Quebec, who has reached the age of majority in their province/territory of residence at the time of entry. The Promotion is not available to (i) individuals associated with the Promotion, including the employees, agents or representatives of Bimbo Canada (including its respective divisions, subsidiaries, affiliates and advertising or promotional agencies); and (ii) suppliers providing prizes or other materials or services in connection with the Promotion ((i) and (ii) collectively, the “Excluded Individuals”), and (iii) the immediate family members of the Excluded Individuals ((i), (ii) and (iii) collectively, the “Promotion Parties”).

  1. HOW TO ENTER:

NO PURCHASE NECESSARY. MAKING A PURCHASE WILL NOT INCREASE OR OTHERWISE IMPACT THE CHANCES OF WINNING. To earn an Entry or Entries (the “ Entry” and “Entries”) you need to earn Points in accordance with the. Feed Good Rewards™ Terms & Conditions In relation to each Month of the Promotion Period, for every five hundred (500) Points earned in accordance with the Feed Good Rewards™ Terms & Conditions, you will automatically earn one (1) Entry. For the purposes of this Promotion, your Points will not carry forward from one Month to any subsequent Month(s) and will reset to zero (0) at the end of each Month.   1. ENTRY LIMIT:

Prize(s) must be accepted as awarded and are not transferable, assignable or convertible to cash (except as may be specifically permitted Bimbo Canada in its sole and absolute discretion). No substitutions are permitted, except at Bimbo Canada’s option. Bimbo Canada reserves the right, in its sole and absolute discretion, to substitute a Prize/Reward or a component thereof with something of equal or greater retail value. None of the Promotion Parties makes any representation or offers any warranty, express or implied, as to the quality or fitness of any Prize(s) awarded in connection with a Promotion. To the fullest extent permitted by applicable law, a confirmed recipient understands and acknowledges that they may not seek reimbursement or pursue any legal or equitable remedy from either Bimbo Canada or any of the other Promotion Parties should their Prize(s)/Reward(s) fail to be fit for its purpose or is in any way unsatisfactory. IMPORTANT NOTE: ANY AND ALL OTHER COSTS ASSOCIATED WITH UTILIZING A PRIZE/REWARD WILL BE THE SOLE AND ABSOLUTE RESPONSIBILITY OF THE RECIPIENT.   1. ELIGIBLE WINNER SELECTION PROCESS:

On the first Thursday following the conclusion of each Month in [Toronto, Ontario] at approximately 10:00 a.m. EST, one (1) eligible entrant per available Prize will be selected by random draw from among all eligible Entries earned in accordance with these Official Rules during the Month immediately preceding the applicable draw date. The odds of winning depend on the number of eligible Entries earned in accordance with these Official Rules during each Month.

  1. ACCEPTANCE OF ELECTRONIC COMMUNICATION

By accepting the Feed Good Rewards™ Terms & Conditions, you provide your express consent to receive electronic communications for the purposes of this Promotion including confirmation notices and potential winner notifications, and you agree that such electronic communications are in accordance with any applicable legal requirements.

  1. OTHER INFORMATION:

Bimbo Canada or its designated representative will attempt to contact an eligible winner within ten (10) business day(s) of selection. If an eligible winner: (i) cannot be contacted as outlined above, or if there is a return of any notification as undeliverable;(ii) fails to correctly answer the skill-testing question and declaration thereon within forty eight (48) hours; (iii) fails to return the properly executed Promotion documents (if required by Bimbo Canada) within the specified time; (iv) cannot accept (or is unwilling to accept) the applicable Prize (as awarded) for any reason; and/or (v) is determined to be in violation of the Feed Good Rewards™ Terms & Conditions and/or this Promotion’s Official Rules (all as determined by Bimbo Canada in its sole and absolute discretion) then they may, in the sole and absolute discretion of Bimbo Canada, be disqualified (and, if disqualified, will forfeit all rights to the applicable Prize) and Bimbo Canada reserves the right, in its sole and absolute discretion and time permitting, to select an alternate eligible entrant for the applicable Prize from among the remaining eligible Entries in accordance with these Official Rules (in which case the foregoing provisions of this section shall apply to such newly selected eligible winner).

NO ONE IS A WINNER UNLESS AND UNTIL BIMBO CANADA OFFICIALLY CONFIRMS THEM AS A WINNER. BEFORE BEING DECLARED AS A CONFIRMED PRIZE WINNER, an eligible winner will be required to correctly answer a mathematical skill-testing question and declaration thereon without mechanical or other aid (which may, in the sole and absolute discretion of Bimbo Canada, be administered online, by email or other electronic means, by telephone, or in Bimbo Canada’s form of declaration and release). Bimbo Canada or its designated representative may, at its sole discretion, contact the eligible winner after twenty-four (24) hours with a reminder for completion of the mathematical skill-testing question and declaration thereon.

By participating in a Promotion and accepting a Prize, an eligible winner hereby: (i) confirms compliance with the Feed Good Rewards™ Terms & Conditions I and these Official Rules; (ii) acknowledges acceptance of the applicable Prize (as awarded); (iii) releases Bimbo Canada and all of the other Promotion Parties from any and all liability in connection with the Promotion, their participation therein and/or the awarding and use/misuse of the Prize or any portion thereof; (iv) agrees to indemnify Bimbo Canada and all of the other Promotion Parties against any and all claims, damages, liabilities, costs, and expenses arising from use of their Entry or any portion(s) thereof; and (v) agrees to the publication, reproduction and/or other use of their name, city and jurisdiction of residence, voice, statements about a Promotion and/or photograph or other likeness without further notice or compensation, in any publicity or advertisement carried out by or on behalf of Bimbo Canada in any manner whatsoever, including print, broadcast or the internet.

Prior to being confirmed as a winner, an eligible winner may be required to properly execute and return Bimbo Canada’s form of declaration and release.

Donation Terms & Conditions

Points earned in the Program accumulate in your Account for participation in a Donation Program for the month. Points are converted into a meal equivalent at Food Banks Canada as follows: 

Every 2000 points are equivalent to 1 meal

Bimbo Canada will make a financial donation to Food Banks Canada using the above formula and based on the collective points earned in the month by all Program members, up to a maximum donation of 15,000 meals ($7,500) for the month.

By tracking cumulative points over time you can see how much you’ve contributed towards donations.
